§ 1 Scope of Application and Contracting Party
These General Terms and Conditions govern the use of the BIZZqui platform, consisting of the mobile app "BIZZqui" (iOS and Android) and the advisor portal at berater.bizzqui.com.
The operator of the platform and contracting party of all users is BIZZqui Schweiz GmbH, Ruessenstrasse 12 , 6340 Baar, Switzerland (hereinafter "BIZZqui"). BIZZqui is the sole owner of all rights to the platform, the software, the trademarks and the content.
BIZZqui Deutschland GmbH is a distribution partner of BIZZqui and does not act as a contracting party towards users.
By registering, the user accepts these GTC.
§ 2 Description of Services
BIZZqui is a digital platform for facilitating contact in the context of business successions. The platform connects buyers, sellers and advisors of small and medium-sized enterprises (SMEs).
BIZZqui exclusively facilitates the initial contact between users. BIZZqui does not provide consulting, business valuations, transaction support, nor does it issue recommendations. The platform is not an M&A advisor.
The platform is currently free of charge. Once paid features are introduced, these GTC will be supplemented with corresponding provisions on pricing, payment terms and notice periods. Users will be informed of such changes in due time (see § 12).
§ 3 User Types and Registration
User Types
The platform distinguishes three user types:
Buyers are individuals or companies seeking to acquire an SME. Registration is carried out via the BIZZqui app.
Sellers are individuals or companies seeking to sell an SME. Registration is carried out via the BIZZqui app.
Advisors are M&A advisors, fiduciaries or other professionals who manage mandates in the field of business succession. Registration is carried out exclusively via the advisor portal at berater.bizzqui.com.
Registration
The use of the platform requires registration. The minimum age is 18 years. Registration is linked to the respective platform: buyers and sellers register via the app, advisors via the advisor portal. Each user may only maintain one account.
Anyone wishing to use the platform in multiple roles should contact support (service@bizzqui.com). BIZZqui may reject a registration without stating reasons.
Access Credentials
The user is responsible for keeping their access credentials confidential and for all activities carried out under their account. In the event of suspected unauthorised use, BIZZqui must be notified immediately.
§ 4 User Obligations
The user undertakes to provide truthful information in their profile and listings. Fake profiles, misleading information and the use of the platform for unlawful purposes are prohibited.
The messaging function serves the purpose of business communication between matched users. Spam, unsolicited advertising, solicitation and misuse of the messaging function are prohibited. Respectful interaction with other users is expected.
Automated access to the platform (bots, scraping, systematic data collection) is prohibited. Profile data available on the platform may only be viewed within the scope of the intended use.
Users are permitted to get to know each other via the platform, exchange contact details and continue further communication outside the platform. This is expressly encouraged and corresponds to the business model of BIZZqui.
§ 5 Matching and Data Visibility
The platform facilitates contact between users through a matching process. Profile data, listing images and documents are not publicly accessible and not freely searchable. They are displayed exclusively to registered users for whom the matching algorithm has identified a match.
In the event of a complete match (mutual like), the first name of the respective user is additionally displayed. Advisors may optionally release further details via their portal (e.g. surname, specialisation, contact details). Email addresses and contact details of buyers and sellers are not disclosed by BIZZqui to other users.
BIZZqui does not guarantee the quality or number of matches.
§ 6 User Content
Users may create profiles, publish listings, upload images and documents, and send messages. The user is solely responsible for all content they post on the platform.
The user grants BIZZqui a non-exclusive, worldwide, royalty-free right to use the content posted by the user within the scope of platform operations. This includes display to other users, matching, and the translation of profile content. This right expires upon deletion of the account.
The user warrants that they hold the necessary rights to the content they post and that no third-party rights are infringed.
§ 7 Reporting and Blocking Function
The platform provides functions that allow users to report inappropriate behaviour or problematic content and to block other users. BIZZqui reserves the right to review reported content and to take measures in the event of violations of these GTC (see § 8).
§ 8 Suspension and Termination by BIZZqui
BIZZqui may temporarily suspend or permanently terminate a user account, in particular in the event of violations of these GTC, misuse of the platform, or reasonable suspicion of fake profiles or fraudulent behaviour. The affected user will be notified by email.
§ 9 Termination by the User
The user may delete their account at any time via the account settings. Upon deletion, all profile data, settings and the account are deleted immediately.
Messages that the user has sent to other users remain visible to the other party. The chat will be marked with a notice that it has been closed. Upon request to service@bizzqui.com, these messages can also be deleted.
§ 10 Liability
BIZZqui does not guarantee the accuracy, completeness or timeliness of information provided by users. BIZZqui is not liable for the conclusion, content or failure of transactions between users.
The liability of BIZZqui is limited to cases of intent and gross negligence, to the extent permitted by law. In particular, BIZZqui is not liable for indirect damages, loss of profit or data loss.
BIZZqui does not guarantee uninterrupted availability of the platform and reserves the right to carry out maintenance and technical modifications.
§ 11 Data Protection
The collection and processing of personal data is governed by the separate privacy policies. BIZZqui Schweiz GmbH is the sole data controller. The privacy policies are available in the app, in the advisor portal and at www.bizzqui.com.
§ 12 Amendments to the GTC
BIZZqui reserves the right to amend these GTC at any time. Users will be notified of amendments by email or in-app notification.
In the event of material amendments, renewed consent from the user is required. This will be obtained at the next login. If the user does not agree to the amended GTC, they may delete their account (see § 9).
§ 13 Applicable Law and Jurisdiction
These GTC are governed by Swiss law. The place of jurisdiction is Baar, Switzerland.
For consumers domiciled in the EU or the EEA, the mandatory provisions of the consumer protection law of their country of domicile remain unaffected. In particular, a consumer may also assert claims before the courts of their country of domicile, insofar as this is mandatorily provided for under applicable law.
§ 14 Severability Clause
Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a provision that most closely reflects the economic purpose of the invalid provision.
§ 15 Special Provisions for Use via Apple Devices
The following provisions apply exclusively to users who use the BIZZqui app via an Apple device. They form part of these GTC and comply with the requirements of Apple Inc. for licensed applications in the App Store.
The licence to use the app is non-transferable and is limited to Apple devices owned or controlled by the user, in accordance with the usage rules of the Apple Media Services.
BIZZqui, not Apple, is solely responsible for the app, its content, maintenance and support. Apple has no obligation whatsoever to provide maintenance or support services for the app.
In the event of non-conformity of the app with an applicable warranty, the user may notify Apple. Apple will, where applicable, refund the purchase price of the app. Beyond this, Apple has no warranty obligation with respect to the app.
BIZZqui, not Apple, is responsible for all claims by the user or third parties in connection with the app, including product liability claims, claims arising from a lack of legal conformity, and claims under consumer protection regulations.
In the event of a third-party claim that the app or its use infringes third-party rights, BIZZqui, not Apple, is responsible for the investigation, defence, settlement and indemnification.
Apple Inc. and its subsidiaries are third-party beneficiaries of these GTC. By accepting these GTC, Apple obtains the right to enforce these GTC against the user as a third-party beneficiary.
